Overview

Welcome to SampleLoop. By installing the SampleLoop app from the Shopify App Store and using our services, you agree to be bound by these Terms of Service. SampleLoop is a Shopify app that lets B2B and wholesale merchants accept sample requests, fulfill them as draft orders, and attribute paid orders to the originating sample. If you do not agree to these terms, you may not use SampleLoop.

Eligibility

You must be at least 18 years old and operate a Shopify store in good standing to use SampleLoop. By installing the app, you represent that you have the legal authority to enter into these terms on behalf of your store or organization.

Installation and Access

To use SampleLoop, you must install the app from the Shopify App Store and grant the requested Shopify API scopes. You are responsible for maintaining the security of your Shopify store and staff accounts. Contact us at michael@michaelmcgarvey.com if you suspect unauthorized use of your store.

The Service

SampleLoop provides a sample-request workflow inside the Shopify admin, a storefront theme app extension, and attribution tooling. We strive to keep the service available, but we cannot guarantee 100% uptime. The service depends on Shopify's APIs and platform. If those change or experience downtime, it may affect how SampleLoop operates.

Free Trial

SampleLoop offers a 30-day free trial. You may use every feature in the plan during the trial. After 30 days, your subscription is billed through Shopify Billing on the cadence shown at install. You may cancel any time during the trial without charge.

Subscriptions and Payments

Paid subscriptions are billed through Shopify Billing. Charges appear on your regular Shopify invoice. Prices are listed in USD and are subject to change with 30 days' notice.

Refunds: We offer a 30-day satisfaction guarantee. If you are unhappy with the service, contact us within 30 days of your first charge for a full refund.

Cancellation: Uninstalling the app or canceling from the Shopify admin ends your subscription. Access continues through the end of the current billing period.

Your Responsibilities

You are responsible for the products you mark eligible for sampling, and for fulfilling approved sample shipments.
You must keep Shopify staff access secure. SampleLoop is not responsible for unauthorized access to your Shopify store.
You agree to comply with all applicable laws when collecting and using personal data from your prospects, including providing your own customer-facing privacy notice if required.

Acceptable Use

You agree not to use SampleLoop to:

Violate any applicable law, regulation, or third-party rights
Reverse engineer, decompile, or disassemble any part of the service
Scrape, crawl, or use automated means to access the service beyond its intended functionality
Attempt to gain unauthorized access to our systems, other merchants' stores, or Shopify infrastructure
Transmit malware, viruses, or any other harmful code through the service
Use the service to send spam or unsolicited messages, or to collect data you do not have the right to collect
Interfere with or disrupt the integrity or performance of the service

Merchant Data and Ownership

You own all data that flows through your Shopify store. By using SampleLoop, you grant us a limited, non-exclusive license to process that data solely to deliver the service. We do not use your data for any other purpose, including training models or advertising. When you uninstall the app, we honor Shopify's app/uninstalled and shop/redact webhooks and delete merchant data within 30 days.

Intellectual Property

SampleLoop and its original content, features, and functionality are owned by SampleLoop and protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our service or software. Nothing in these terms grants you any right to use the SampleLoop name, logo, or branding without our prior written consent.

Limitation of Liability

SampleLoop is provided on an “as is” and “as available” basis without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, SampleLoop shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business opportunities. Our total aggregate liability for any claim is limited to the amount you paid us in the 12 months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless SampleLoop, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your access to or use of the service, your violation of these terms, or your infringement of any third-party rights.

Termination

We may suspend or terminate your access to SampleLoop at our discretion if you breach these terms, fail to pay your subscription, or use the service in a way that could harm our systems or other merchants.

Upon termination, your right to use the service will cease immediately. We honor Shopify's data-deletion webhooks. Sections of these terms that by their nature should survive termination (including Limitation of Liability, Indemnification, and Governing Law) will remain in effect.

Modifications to Terms

We reserve the right to modify these terms at any time. If we make material changes, we will notify merchants by email or by posting a notice on our website at least 30 days before the changes take effect. Your continued use of the service after the effective date of the revised terms constitutes acceptance of the changes.

Governing Law and Disputes

These terms are governed by and construed in accordance with the laws of the United States and the State of California, without regard to conflict of law principles.

Before filing any legal claim, you agree to first attempt to resolve the dispute informally by contacting us at michael@michaelmcgarvey.com. We will try to resolve the matter within 30 days. If informal resolution is unsuccessful, any legal proceedings shall be brought exclusively in the courts located in the State of California.

Severability

If any provision of these terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
